LEGAL & GOVERNANCE MANAGER (GABORONE) – BPS 33/2/3 Vol.1 (42)

JOB SUMMARY
The job holder is responsible for the effective and efficient management of legal advisory services and ensuring effective management of legal and contractual risks. Responsible for effective governance, risk and compliance environment across business by leading the development of corporate policies, process and procedures for optimum business controls; strategies for compliance to governance and industry operational requirements; monitoring and reporting on effectiveness of internal controls.

The position directly reports to the Company Secretary.

POSITION REQUIREMENTS

Key Responsibilities:

  • Provides general legal advice including recommending for the institution, defence or settlement of cases.
  • Represent the Company in the Courts of the Republic of Botswana and other Tribunals.
  • Coordinate and manage all legal matters between the Company and other parties.
  • Draft and prepare contracts and other legal documents to ensure that the interests of the company are protected.
  • Provides administration of contracts and be the custodian of all legal documents including keeping and maintaining a legal register.
  • Ensure statutory and regulatory compliance on all matters.
  • To consult with Legal Counsel on all matters.
  • Ensures that creation, development and maintenance of business governance and compliance policies, processes and procedures are in place.
  • Ensures that there is awareness of governance and compliance objectives across business and ensures further that there is capacity building on governance controls and compliance management.
  • Ensures that interaction is done regularly with business departments to understand the business process environment with a view to identifying key risks and governance challenges and opportunities for mitigation through process improvement.
  • Works with business managers to develop tools for continuous monitoring of the governance and internal control environment.
  • Ensures compliance with all statutory and regulatory matters.
  • Monitors the representation of the Company in discussions with Government on trade negotiation and regulatory issues.
  • Drafts and makes budget recommendations for the Legal and Governance Unit.
  • Carry out all such other duties assigned from time to time in the interest of the organisation and as directed by the Company Secretary.

Qualifications:
A Bachelor of Laws Degree (LLB) from a recognized University and admitted to practice in any court of law in the Republic of Botswana.

Experience:
A minimum of five (5) years’ experience in corporate legal work, civil litigation, contract negotiations and governance.
