Core Accountabilities and Responsibilities

  • Perform legal insurance and legal affairs activities.
  • Provide legal opinions, including advice on obligations, recommended course of action and anticipated impact on the organisation, on matters such as contracts, insurance, international law, corporate issues and employment.
  • Act for, and on behalf of, the organisation as counsel before the courts, legal committees, labour offices, boards and other judicial bodies where the organisation has initiated actions or in response to actions lodged against it. This includes preparation of written and oral submissions, investigation and cross examination of other party’s evidence and witnesses. Whenever situation requires, guide and supervise the actions of local or international external legal advisors.
  • Ensure that all of the organisation’s obligations and requests are met for insurance of its assets, employees and legal obligations by reviewing and assisting the Finance Department to arrange insurance coverage across all areas of its operations.
  • Provide recommendations to department managers on general and third-party insurance matters and review and comment on any insurance requirements for contracted services (provided to the organisation by a third party).
  • Review all securities and sureties provided by customers in order to ensure that they are bona fide and meet the organisation’s minimum standards for the type of offering sought.
  • Assist in legal affairs matters related to the meetings and requirements of the Board of Directors, shareholder liaison and the legal requirements of the Government of Botswana for corporate submissions under the terms of the organisation’s registration.
  • Perform a variety of legal, insurance and contract-related duties including the provision of advice on legal requirements for contracts, the development and maintenance of organisational standard terms and conditions and the interpretation of court decisions and new Government legislation in Botswana.
  • Manage disputes and litigation with external parties wherever intervention is required
  • Keep abreast of legal and corporate governance developments and ensure that the organisation operates in accordance with best practice.
  • Support Risk department with the legal aspects of compliance and provide input into training, policies and procedures related to the same.
  • Monitor continuing compliance with any conditions of regulatory licenses and other statutory approvals held by the organisation and operated in the Job Complexity.
  • Plan, organize and lead meetings at both tactical and strategic level related to Legal & Compliance issues; analyze complex problems and develop creative solutions to help Unit/ Regional Operational heads.
  • Follows up decisions of the Board for action.
Requirements

Position Requirements:

Qualifications:

  • Bachelor’s Degree in Law and admitted to practice in Botswana
  • Specialisation in Corporate Governance or Commercial Law would be an added advantage.

Experience:

  • Five (5) years’ experience working in commercial law. Detailed knowledge of Botswana’s financial legislation and legal practices is essential.
