The National Arts Council of Botswana (NACB), established under the National Arts Council of Botswana Act No. 10 of 2020, seeks a qualified Legal Counsel & Board Secretariat Support professional. NACB’s mandate is to develop, promote, and protect Botswana’s creative and cultural sector through policy, legislation, industry facilitation, partnerships, programs, grants, and initiatives. The Council aims to transform the local creative and cultural sector by nurturing excellence and preserving national cultural traditions, fostering an inclusive, sustainable, and prosperous sector.
Reporting to: Legal Counsel & Board Secretary
Role Summary:
The Legal Counsel & Board Secretariat Support professional will provide comprehensive legal and board secretarial services to the Council. This includes legal advisory support, contract review and drafting, ensuring legislative and regulatory compliance, and adherence to internal policies.
Key Responsibilities:
- Draft legal documents, including regulations, contracts, and notices.
- Review tender documents and contracts, providing recommendations to safeguard the Council’s interests.
- Ensure timely delivery of legal and board secretarial assignments.
- Develop, implement, and monitor compliance programs.
- Conduct compliance audits and risk assessments, recommending corrective actions.
- Provide timely legal advice and conduct thorough legal research.
- Proactively identify and advise on corporate governance matters.
- Deliver efficient legal support services.
- Ensure compliance with statutory requirements, policies, and procedures.
- Identify, assess, and manage legal and compliance risks.
- Develop and oversee systems for whistleblowing, investigations, and non-compliance reporting.
- Prepare and present compliance management reports to senior management.
Required Qualifications and Experience:
- Bachelor of Laws (LLB) degree and a certificate to practice in the Courts of Botswana.
- Membership in good standing with the Law Society of Botswana.
- Minimum of ten (10) years of post-qualification legal experience.
- Experience in corporate and board governance, commercial, and contract law (advantageous).
- Board secretarial and compliance management experience (advantageous).
