Main purpose of the position

To provide effective corporation secretarial and legal service to BPC by contributing to Corporation policy implementation, performing a governance gate keeping role ensuring the timely, effective administration of BPC affairs in compliance with statutory and other requirements. Overseeing adherence to the BPC Board Charter and providing administrative legal services to the Business Units

Job Responsibilities

  • Implement an organisational development and design philosophy that enables BPC to meet its strategic vision.
  • Takes responsibility for developing and delivering technical and support services relevant to Legal matters are provided to all BPC departments.
  • Liaisons with external legal functionaries that takes place as per required needs, as per set Corporation standards and procedures.
  • Provides effective Corporation Secretarial Services to BPC Board, BPC Management Board, and the CEO.
  • Ensures provision of administrative, legal and insurance services to the BPC Board and the CEO.
  • Ensures that Corporation Secretariat services are managed effectively.
  • In the event of any developments in corporate governance, informs relevant stakeholders and advises on the potential impact envisaged.
  • Implements and monitors adherence to the BPC Board Charter.
  • Implements and monitors Corporate Governance principles and ensures they are implemented Corporation
  • Implements and monitors policies and procedures that reflect good corporate governance.
  • Renders effective legal advice to minimise litigation and reduce legal risks and costs.
  • Safes guards the legal rights and interests of BPC adequately.
  • Provides timely and quality legal advice to ensure satisfaction levels within agreed parameters.
  • Legal compliance is ensured.
  • Manages the development and/or delivery of budget plans for own department.
  • Implement and manage planned Corporate Counsel related expenditure in accordance with the annual budget.
  • To manage budgets developed based on the agreements entered into by Corporate Counsel for services with regards to process and cost recovery for services provided.
  • Manages and contains cost of external legal consultants within budgetary constraints or at least kept to a minimum.
  • Implements effective Performance Management system throughout BPC and to ensure the success of the programme.
  • Manages the performance of BPC by working within a performance management system.
  • Reviews the performance of employees as per the BPC Performance Management system and as per the target dates and is monitored within the set timeframes.
  • Manages the motivation and discipline of BPC employees in line with laid down procedures to realize the Corporation’s objectives.
  • Propose and implements staff development plans for the Corporation to ensure competent, efficient and motivated staff.
  • Takes responsibility for developing organizational policies within an area of expertise for an extensive area of the business, then oversees their implementation within the organization.
  • Develops, implements and monitors strategies, plans and policies relevant to the services provided by the unit.
  • Ensures Corporation policies, procedures and information systems comply with legislative and statutory requirements.
  • Identifies shortcomings, suggests improvements and implements approved revisions to current compliance processes, systems and procedures within assigned unit and/or discipline.
  • Delivers own prescribed outcomes and/or provides support services by using the organisations safety, health and environment systems and protocols.

Qualifications

  • A relevant degree in Law from a recognised University, e.g. LLB
  • Qualifications that combine Legal and Business Studies are preferable.
  • A Masters’ in Business Administration (MBA) will be an advantage.

Experience

  • A minimum of twelve (12) years relevant experience in a large corporate environment.
  • Of the above, at least five (5) years at Senior Management level within a large organisation.
  • Experience in corporate law, contracts management and international commercial law.
  • Experience gained in the energy industry will be an advantage.
