DIRECTOR, LEGAL SERVICES AND BOARD SECRETARY

 

Summary:

The Director, Legal Services and Board Secretary is responsible for providing comprehensive legal counsel and support to the organization, as well as serving as the primary liaison to the Board of Directors. In this dual role, the incumbent will manage all legal affairs, ensure compliance with relevant laws and regulations, and coordinate the activities and governance requirements of the Board.

 

 

Key Responsibilities:

Legal Services:

– Serve as the in-house legal expert, advising executive leadership, department heads, and other stakeholders on a wide range of legal matters
– Review and negotiate contracts, agreements, and other legal documents to mitigate risk and protect the organization’s interests
– Monitor changes in legislation, regulations, and case law that may impact the organization, and develop strategies to ensure compliance
– Manage the organization’s litigation and dispute resolution process, working closely with external counsel as needed
– Develop and implement policies, procedures, and training programs to promote legal and ethical standards throughout the organization
– Provide guidance on employment-related legal issues, including labor laws, HR policies, and employee grievances

 

 

Board of Directors:

– Act as the primary liaison between the organization and the Board of Directors
– Coordinate the planning and execution of all Board and committee meetings, including the preparation and distribution of agendas, minutes, and other relevant materials
– Ensure the organization’s governance documents (e.g., bylaws, charters, policies) are up-to-date and aligned with best practices
– Advise the Board on governance-related matters, including fiduciary duties, conflicts of interest, and regulatory compliance
– Manage the onboarding and orientation process for new Board members
– Coordinate the annual Board evaluation and continuous improvement efforts

 

 

Qualifications:

– Juris Doctor (J.D.) degree from an accredited law school
– Licensed to practice law in the relevant jurisdiction(s)
– Minimum 10 years of experience in a corporate legal role, with a focus on commercial contracts, corporate governance, and regulatory compliance
– Exceptional communication, interpersonal, and presentation skills
– Demonstrated ability to work collaboratively with executive leadership, cross-functional teams, and Board members
– Strong project management and organizational skills, with the ability to manage multiple priorities and deadlines
– Thorough understanding of corporate governance best practices and trends
– Proficient in the use of legal research tools and case management software
