LEGAL ADVISOR

 

The Legal Advisor is responsible for providing professional legal, regulatory, and corporate governance support to Botswana Oil Limited to ensure compliance with applicable legislation, regulatory frameworks, and internal governance requirements. The role is responsible for providing sound legal advisory services, contract management support, litigation coordination, and corporate secretarial support to safeguard the Company’s legal and commercial interests.

 

The incumbent will work closely with Management, the Board, external legal counsel, regulators, and other stakeholders to ensure that the Company operates within the applicable legal and governance framework while supporting strategic business objectives.

 

Key Performance Areas

 

The successful candidate will be responsible for, among others, the following:

  1. Legal Advisory ServicesProvide legal opinions, guidance, and advisory support on corporate, commercial, employment, procurement, and regulatory matters.Review, draft, negotiate, and manage contracts, agreements, SLAs, MOUs, and other legal documentation.Advise Management and business units on contractual rights, obligations, and legal risk exposure.Conduct legal research and provide interpretation of laws, regulations, and emerging legal developments affecting the business.
  2. Corporate Governance & ComplianceSupport the implementation and continuous strengthening of corporate governance frameworks, policies, and delegated authorities.Support in providing Board and Committee secretariat and governance support aligned to the Company’s strategic direction and growth agenda.Coordinate governance compliance processes, including statutory records, regulatory filings, and monitoring of legal and corporate governance obligations.Support governance oversight across the Company’s evolving business operations and strategic initiatives.
  3. Litigation & Dispute ManagementCoordinate litigation matters and liaise with external legal counsel on disputes involving the Company.Monitor legal proceedings and ensure timely preparation of legal documentation and reports.Support the management of claims, investigations, and dispute resolution processes.Maintain proper records and documentation relating to legal cases and matters.
  4. Contract & Risk ManagementMonitor contractual compliance and identify legal and commercial risks.Participate in contract negotiations and support procurement and commercial processes.Ensure legal risks are identified, assessed, mitigated, and escalated appropriately.Maintain effective contract administration and document management systems.
  5. Stakeholder ManagementLiaise with regulators, courts, external legal practitioners, and relevant stakeholders on legal matters.Build and maintain effective working relationships with internal and external stakeholders.Provide legal awareness and guidance to staff where required.

Requirements

Position Requirements

 

Education:                                Bachelor of Laws (LLB) Degree from a recognised institution.

Admission to practice law in the Courts of Botswana.

Membership in good standing with the Law Society of Botswana.

 

Experience:          Minimum of seven (7) years post-qualification experience in a legal environment within a reputable public or private sector organisation.

Demonstrated experience in commercial law, contract management, corporate governance, Board secretariat support, and regulatory compliance.

Proven experience in drafting legal opinions, commercial agreements, Board and position papers, policies, and regulatory submissions.

Experience within the energy, petroleum, infrastructure, or regulated sectors will be an added advantage.
